Collaborative Earning Program and Membership Terms
1. About these terms
1.1 These terms govern Innent Inc.'s ("Innent", "we", "us") Flexi, Corporate VIP and Elite memberships and the Collaborative Earning Program (the "Program"). They form part of Innent's Terms of Use and Privacy & Cookies Policy.
1.2 By joining a membership or using a membership code, you agree to these terms. If these terms conflict with the Terms of Use on a membership or Program matter, these terms apply.
1.3 The Program is in its first year of operation. Innent may end the Program under section 12.4.
2. Eligibility
2.1 To join, you must be at least 18 (or the age of majority where you live) and hold an Innent account in your own name. A business may hold a Corporate VIP membership and must name one authorized account holder.
2.2 One membership per person or business. Innent may decline or cancel duplicate or false accounts.
2.3 Only Corporate VIP and Elite members earn royalties. Flexi members receive Flexi benefits only and do not earn royalties.
3. Membership tiers and fees
| Tier | Monthly fee (CAD, plus applicable taxes) | Royalties | Monthly royalty cap |
|---|---|---|---|
| Flexi | Free | None | Not applicable |
| Corporate VIP | 10.80 | 2.00% to 5.00% | CAD 1,000 |
| Elite | 87.99 | 2.00% to 5.00% | No cap |
3.1 Fees are billed at the start of each monthly billing cycle until you cancel.
3.2 Hotel perks listed for each tier are offered at Innent partner hotels, are subject to availability and the hotel's policies, and are not guaranteed.
3.3 Paying a membership fee gives you access to membership benefits and the right to earn royalties on qualifying bookings. It does not entitle you to any payment for introducing, referring or recruiting other members.
4. How royalties are earned
4.1 Qualifying booking. A royalty is earned on a booking that: (a) is made on the Innent platform; (b) has your valid membership code entered at checkout, by you or by another guest; (c) is paid in full; and (d) is completed, meaning the guest checked in and the stay was not cancelled, refunded, charged back or recorded as a no-show.
4.2 Royalty base. Royalties are calculated on the room price actually paid for the qualifying booking, excluding taxes, Innent service and booking fees, property-collected fees, deposits, and any amount later refunded.
4.3 Excluded bookings. No royalty is earned on:
- (a) bookings paid for by a government department or agency, or made under an Innent institutional, corporate-account or government contract;
- (b) Emergency Recovery resale transactions;
- (c) rates or products marked "not eligible for royalties" before you book; and
- (d) bookings where the code was added after checkout.
4.4 No recruitment compensation. Royalties are earned only on qualifying bookings. You do not earn royalties, bonuses, rate increases or any other benefit for referring, introducing or signing up new members, and no part of any membership fee is paid to another member.
4.5 Your own bookings. You may use your own code on your own bookings. Those bookings earn royalties like any other qualifying booking.
4.6 Guests pay the same price whether or not a membership code is used.
5. Royalty rate
5.1 Starting rate. Your royalty rate starts at 2.00%.
5.2 Rate steps. Your rate increases by 0.10 percentage points for every 20 Qualifying Room Nights, up to a maximum of 5.00%. A "Qualifying Room Night" is one room for one night in a qualifying booking that was booked at a paid, non-refundable rate and completed.
5.3 Counting. Qualifying Room Nights are counted from the date your Corporate VIP or Elite membership starts and while it remains active. The count carries over if you change tiers. If your paid membership lapses for more than 30 days, the count restarts from zero.
5.4 When a new rate applies. A new rate applies to qualifying bookings made after the date you reach it. It does not apply to earlier bookings.
5.5 Changes to thresholds. Innent may change the rate steps, thresholds or maximum rate only under section 11. A change will not reduce a rate you have already reached or royalties you have already earned.
6. Monthly cap
6.1 Corporate VIP royalties are capped at CAD 1,000 per calendar month, based on the month the royalty is credited. Royalties above the cap are not carried forward.
6.2 Elite royalties have no monthly cap.
7. Crediting, reversal and payout
7.1 Royalties are credited to your Innent account as "available" within 15 days after the guest's checkout, once the stay is verified as completed.
7.2 If a credited booking is later refunded, cancelled, charged back or found to be ineligible, Innent may reverse the related royalty or deduct it from future royalties.
7.3 Payout. You may use your available royalty balance in either of two ways:
- (a) Booking credit: apply any amount of your balance toward the room price of a future Innent booking, with no minimum; or
- (b) Cash: request a payout by Interac e-Transfer once your available balance is CAD 100 or more. Innent pays within 10 business days of a verified request. You must provide accurate payout details, and Innent may verify your identity before the first payout.
7.4 Available royalties not used or paid out within 24 months of being credited expire. Innent will remind you by email at least 30 days before any expiry.
7.5 Taxes. Royalties may be taxable. You are responsible for reporting them. Innent may request tax information and issue tax slips where the law requires.
7.6 Royalties are personal to the account holder and cannot be transferred, sold or assigned.
8. Earnings disclosure
8.1 Innent does not guarantee any level of earnings. Royalties depend entirely on completed qualifying bookings made with your code.
8.2 The Program is new, so Innent does not yet have data on what typical members earn. Many members may earn little or nothing, and royalties may be less than the membership fees paid. Innent will publish typical member earnings once 12 months of data is available and update that information at least once a year.
8.3 When you promote your code, you may only make earnings claims that Innent has published, and you must not describe the Program as passive income, an investment, a business opportunity, or a way to earn by recruiting.
9. Sharing your code and acceptable use
9.1 You may share your code with people you know and on your own social media and websites. When you post about the Program, clearly state that you earn a royalty when your code is used.
9.2 You must not:
- (a) send commercial emails or text messages promoting your code without the recipient's consent, as required by Canada's anti-spam legislation;
- (b) bid on "Innent" or similar brand terms in search advertising, or post your code on coupon or deal sites, without Innent's written approval;
- (c) impersonate Innent or suggest you are an Innent employee or travel agent;
- (d) quote prices, take payments or make bookings on behalf of others as a business; or
- (e) create fake, duplicate or speculative bookings, or use stolen payment methods.
9.3 If you book for others, you remain responsible under the Terms of Use for having their consent and passing on the booking terms.
10. Privacy
10.1 Innent handles personal information under its Privacy & Cookies Policy and British Columbia's Personal Information Protection Act.
10.2 For bookings made by other people with your code, Innent shows you only the booking dates, number of room nights, booking status and royalty amount. Guest names, contact details and confirmation numbers are not disclosed.
10.3 You must not use any information obtained through the Program for any purpose other than checking your own royalties.
11. Changes to these terms
11.1 Innent may change the following provisions of these terms: membership fees (section 3); hotel perks (3.2); the list of excluded bookings (4.3); the royalty rate steps, thresholds and maximum (section 5); the monthly cap (section 6); payout methods, the cash-out minimum, timing and expiry (7.3 and 7.4); and the acceptable-use rules (section 9). Innent may also change other provisions where the change does not increase your obligations or reduce Innent's.
11.2 Innent will give you notice at least 30 days, and not more than 60 days, before a change takes effect, by email to the address on your account and in your dashboard. The notice will show the new wording, explain the change clearly, give the effective date and, where the change increases your obligations or reduces Innent's, state your right to cancel under 11.3.
11.3 If a change increases your obligations or reduces Innent's, you may cancel your membership at any time without fee or penalty. If you cancel before the change takes effect, you will not be charged the changed fee.
11.4 Innent will not change the cancellation or refund provisions of these terms in a way that increases your obligations or reduces Innent's.
11.5 Changes never affect royalties already credited or a rate you have already reached.
12. Cancellation, suspension and ending the Program
12.1 You may cancel your membership at any time from your account dashboard or by emailing support@innent.com, without fee or penalty. Cancellation takes effect at the end of the current monthly billing cycle. Fees already billed for the current cycle are not refunded except where the law requires.
12.2 Upgrades take effect immediately on payment of the prorated difference for the rest of the current cycle. Downgrades take effect at the end of the current billing cycle.
12.3 Innent may suspend or terminate a membership for breach of these terms, fraud or misuse. If termination is for fraud or serious breach, royalties linked to the fraud or breach are forfeited and Innent may recover royalties already paid on those bookings. In other cases, royalties already credited remain yours and may be used or paid out under section 7 for 90 days after termination.
12.4 Innent may end the Program with at least 30 days' notice. Royalties earned on qualifying bookings completed before the end date will still be credited and may be used or paid out under section 7 for 90 days after the end date.
13. Failed payments
13.1 If a membership payment fails, Innent may suspend membership benefits until payment is made. Any bank or chargeback fee Innent is charged for a failed payment will be disclosed to you and may be billed to you.
14. Disputes
14.1 Questions or disputes about royalties, fees or benefits should be sent in writing to support@innent.com within 90 days of the transaction or issue. Innent will review the matter and respond in writing within 15 business days.
14.2 The dispute resolution, governing law and jurisdiction provisions of the Terms of Use apply, subject to any rights you have under consumer protection law.
15. Liability
15.1 Membership perks are provided by partner hotels and are subject to their availability and policies. Innent does not guarantee their availability or quality.
15.2 To the extent permitted by law, Innent is not liable for indirect, incidental or consequential losses arising from the Program or membership benefits. Nothing in these terms limits rights you have under applicable consumer protection law.
16. General
16.1 These terms and the Terms of Use are the entire agreement between you and Innent about memberships and the Program.
16.2 If any provision is found invalid or unenforceable, the rest remains in effect.
