Innent Inc. Extranet Terms of Use
Welcome to the Innent Inc. Extranet (“Innent Extranet”), a secure online platform that allows authorized partners such as hotels, accommodation providers, and third-party service providers (“Partners”) to manage their property information, rates, availability, reservations, and other related content. Access to and use of the Innent Extranet is governed by these Terms of Use, which are binding upon acceptance and use of the platform.
By accessing the Innent Extranet, you acknowledge that you have read, understood, and agree to comply with these terms.
1. Access and Authorization
Eligibility
- You must be at least 18 years old and authorized to enter into binding agreements on behalf of the Partner.
- Only personnel or agents explicitly authorized by the Partner may access the Extranet.
Account Credentials
- Each Partner will be provided with unique login credentials for accessing the Innent Extranet.
- You are responsible for maintaining the confidentiality of your login credentials and must ensure they are not shared, disclosed, or misused by unauthorized individuals.
- Any loss, theft, or unauthorized use of credentials must be reported immediately to extranetsupport@innent.com.
Authorized Use
- The Innent Extranet may only be used for legitimate purposes as outlined in the Master Agreement, including:
- Managing room rates, inventory, and availability.
- Uploading property information, images, amenities, and promotional offers.
- Handling, changing reservations and cancellations.
- Responding to customer queries or disputes.
Audit and Monitoring
- Innent Inc. reserves the right to monitor, audit, and log activities on the platform to ensure compliance with these terms. Any suspicious or unauthorized activity may result in account suspension or termination.
2. Content Management
Accuracy of Information
- You must ensure all content provided on the Extranet is accurate, complete, and up to date. This includes:
- Room descriptions, amenities, and policies.
- Rates, availability, and promotional offers.
- Photos, videos, and other media.
Ownership and Licensing
- By uploading content (e.g., names, logos, descriptions, images, videos), you represent and warrant that:
- You own or have the rights to use and upload the content.
- The content does not infringe on third-party intellectual property rights or violate any applicable laws.
- You grant Innent Inc. a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display the content for marketing, promotional, and operational purposes.
Content Review and Approval
- Innent Inc. reserves the right to review, reject, or modify any content uploaded to the platform to ensure consistency, accuracy, and compliance with applicable standards.
3. Rate, Inventory, and Contracting Management
- Partners are responsible for setting rates, availability, and inventory through the Extranet.
- Rates and inventory must comply with the terms of the Master Agreement and any applicable regional laws or regulations.
- Any contractual agreements entered into or through the Extranet are legally binding, and Partners are responsible for ensuring adherence to all terms.
4. Prohibited Activities
Partners agree not to engage in any activities that could harm or disrupt the Extranet platform, including but not limited to:
- Security Violations:
- Uploading malicious code, viruses, or malware.
- Circumventing security measures, such as password protections or access controls.
- Platform Misuse:
- Misrepresenting property details, rates, or availability.
- Using the platform to send unsolicited communications to guests.
- Accessing, modifying, or using the platform for purposes unrelated to the Master Agreement.
- Intellectual Property Violations:
- Copying, reverse-engineering, or reproducing any part of the platform’s software or systems.
- Using Innent Inc.’s trademarks, logos, or other proprietary assets without prior written consent.
- Load and Performance Disruptions:
- Taking actions that overload the platform’s infrastructure or compromise performance.
- Attempting to scrape or extract data from the platform using automated tools or manual methods without authorization.
5. Data Privacy and Security
Confidentiality
- Partners must treat all data accessed through the Extranet as confidential, including customer information, booking details, and operational metrics.
- Disclosure of confidential data to third parties is prohibited unless explicitly permitted under the Master Agreement.
Compliance with Data Protection Laws
- Partners must comply with all applicable data protection and privacy laws, including but not limited to the Personal Information Privacy Act (PIPA), the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), when handling customer data.
Data Breaches
- Any unauthorized access, breach, or loss of data must be reported to Innent Inc. immediately. Partners are responsible for mitigating risks and cooperating with investigations.
6. Liability Disclaimer
The Innent Extranet and all associated tools and services (the "Extranet") are provided by Innent Inc. (the “Company”) on an “as-is” and “as available” basis. By accessing or using the Extranet, you (the “Partner”) acknowledge and agree to the following terms and conditions:
6a. No Warranty
- The Company makes no representations or warranties, express or implied, regarding:
- The accuracy, completeness, or reliability of information provided through the Extranet.
- The uninterrupted availability or uptime of the Extranet.
- The suitability of the Extranet for any particular purpose.
- The Company disclaims all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- The Company further disclaims any warranties that the Extranet, its servers, or any emails sent by the Company are free of viruses or harmful components.
6b. Limitation of Liability
- The Company shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to:
- Errors, omissions, or inaccuracies in property information or bookings.
- Misuse of the Extranet or unauthorized access.
- Technical issues, downtime, or system failures.
- Transmission of viruses, harmful software, or malicious content.
- Loss of data, business opportunity, revenue, profits, or any other financial loss, directly or indirectly, resulting from the use or misuse of the Extranet.
- In no event shall the Company’s total liability exceed the greater of:
- (a) Fees paid by the Partner for access to the Extranet during the 12-month period preceding the event giving rise to the claim; or
- (b) One Hundred Canadian Dollars (CAD 100).
6c. Allocation of Risk
- The limitations of liability outlined herein reflect an essential allocation of risk between the Company and the Partner and shall remain effective, even if any limited remedy fails in its essential purpose.
6d. Indemnification
- The Partner agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and representatives from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorney fees, arising from:
- The Partner’s breach of these terms or any agreements with the Company.
- Violations of applicable laws, regulations, or third-party rights.
- The Partner’s use or misuse of the Extranet.
6e. Third-Party Links
- The Extranet may contain links to websites operated by third parties. These links are provided for convenience and informational purposes only. The Company is not responsible for the content, practices, or policies of such websites. Accessing third-party websites is at the Partner’s sole risk. The Company does not endorse or make any representations regarding the accuracy or suitability of the content or services provided on third-party websites.
- The Partner is solely responsible for taking appropriate precautions to protect their system from harmful elements such as viruses, worms, or other malicious code when visiting third-party sites.
6f. Software Use
- Any software made available through the Extranet (the “Software”) is licensed under the terms of its accompanying end-user license agreement (the “License Agreement”). The Partner may not use the Software unless they agree to the terms of the License Agreement.
- All Software available on the Extranet is protected by copyright and intellectual property laws, and the Partner may not reproduce, distribute, or otherwise exploit the Software except in accordance with the terms of the License Agreement.
6g. Modification and Availability
- The Company reserves the right to modify, update, or improve the Extranet, including its tools, services, and content, at any time without prior notice.
- While the Company makes reasonable efforts to ensure the Extranet’s functionality and availability, there is no guarantee that access to the Extranet will be uninterrupted or error-free.
6h. Disclaimer of Endorsement
- The inclusion or offering of any products or services on the Extranet does not constitute an endorsement or recommendation by the Company of such products or services. All products, services, and information available through the Extranet are provided without warranty of any kind, either express or implied.
6i. General Provisions
- The information, software, products, and services available through the Extranet may contain inaccuracies, errors, or omissions. The Company disclaims all liability for any such inaccuracies, errors, or omissions.
- These terms constitute the entire agreement between the Partner and the Company regarding the use of the Extranet.
- If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
7. Termination and Suspension
- Innent Inc. reserves the right to suspend or terminate access to the Extranet at its discretion, including for:
- Breaches of these terms or the Master Agreement.
- Violation of applicable laws or third-party rights.
- Fraudulent or unethical behaviour.
- Upon termination, Partners must immediately cease using the Extranet and return or delete all confidential information obtained through the platform.
8. Modification of Terms
- Innent Inc. may update these terms from time to time. Continued use of the Extranet after modifications signifies acceptance of the revised terms.
9. Governing Law and Dispute Resolution
- These terms are governed by the laws specified in the Master Agreement. Any disputes will be resolved through arbitration or court proceedings in the jurisdiction outlined in the Master Agreement.
